Definition
An Institutional Investor under SG securities law is a regulated financial institution, statutory body, or sovereign-related entity. Distinct from Accredited Investor (which covers wealthy individuals). MAS-licensed banks, fund managers, insurers, and pension funds count as IIs.

II status grants the broadest regulatory access to private-market and exempted products. Single Family Offices that hold MAS licensing as RFMC / FMC for their internal fund management may have II status for product onboarding. Some fund managers limit subscription to IIs only. Distinct from accredited-investor status in that AIs are wealthy individuals while IIs are regulated entities.
